Please review this Policy before using any HIKVISION services available on this Platform (“Service”).

To realize the Purpose and avoid any future disputes that may arise, you are required to provide information of HIKVISION products and customers making the requests as per HIKVISION’s instructions, including without limitation the products’ label pictures with serial numbers, device key file, customers’ names and contact information. You hereby understand that you are the controller of any Third-Party Data contained in the above mentioned information, and will be solely liable to collect and process such data in accordance with applicable laws and regulations, including but not limited to obtain explicit consent of data subject.
Securing Your Personal Information
HIKVISION has implemented commercially reasonable administrative, technical, and physical security controls that are designed to safeguard personal information. We also conduct periodic reviews and assessments of the effectiveness of our security controls.
Notwithstanding the above, no data transmission over the internet or any wireless network can be guaranteed to be perfectly secure. HANGZHOU HIKVISION TECHNOLOGY CO., LTD., and its affiliates, (collectively “HIKVISION”, “we”, “our”, “us”) provide you with access to online platform via the website of https://pw-en.hikvision.com(“Platform”) to reset or restore the passwords of HIKVISION products as requested by the customers (the “Purpose”) as per HIKVISION Platform Agreement reached by HIKVISION and you.
By using and accessing to the Platform, you agree to accept and be bound by these Terms and our Privacy Policy. You agree that when you use your login credentials or click on any “I Agree” button when using the Platform, you affirmatively consent to conduct business electronically with us, and such credentials and processes have the same force and effect with your written signature.
1. Accessing and Using the Platform
In order for you to access the Platform, you are required to provide HIKVISION with registration information which includes, without limitation, your name, country/region, company name, email address and phone number, then an account with password (“Account”) will be allocated by HIKVISION to you, and you can revise the password by yourself. Also in order for you to realize the Purpose, you are required to provide information of HIKVISION products and customers making the requests as per HIKVISION’s instructions, including without limitation the products’ label pictures with serial numbers, device key file, customers’ names and contact information.
You hereby represent and warrant that: (i) all required information you submit is truthful, accurate and complete; (ii) you will maintain the accuracy, security, and confidentiality of such information; (iii) you have authority to access to the Platform and realize the Purpose on behalf of your company, and (iv) you ensure that the requests from the customer are true, correct and undisputed. You hereby agree that HIKVISION will revoke the Account at any time and you will not be able to use the Platform in case that the Terms are terminated in accordance with Section 10.
You also represent and warrant that your use of the Platform does not violate any applicable law or regulation, and shall not infringe any rights of HIKVISION or any third parties.
You have no right to transfer your Account to any other individuals or organizations in any manner. HIKVISION will not be liable for any loss or damages arising from your failure to maintain the confidentiality of your own Account.
You may not use anyone else’s Account at any time without the express permission and consent of the holder of that Account. HIKVISION cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.
2. System and Equipment Requirements
Use of the Platform may require Internet access. You shall have the necessary hardware, software, and Internet access needed to use the Platform. The Platform may not be accessible without: (i) a working network that is positioned to communicate reliably with the Platform; (ii) a PC device to run the Platform; (iii) an Account; (iv) always-on broadband Internet access; and (v) other system elements that may be necessary for using the Platform.
3. Changes to HIKVISION Platform
We may change, upgrade, discontinue, or temporarily suspend any feature or component of the Platform at any time without notice, and these Terms shall apply to any future update, release, or other change to the Platform.
4. Intellectual Property
All trademarks and logos displayed, mentioned or otherwise used in the Platform are property of HIKVISION or its licensors as stated if applicable. You are not permitted to use any of these trademarks or logos in any way without explicit prior written permission from HIKVISION or such licensors as applicable.
All contents on the Platform are copyrighted by HIKVISION or applicable licensors unless otherwise stated. Without prior written consent of HIKVISION or other related parties, any content on the Platform shall not be reproduced, modified, promoted, distributed, photocopied, played, disassembled, reverse engineered, decompiled, linked or transmitted with hyperlinks, loaded into other servers in "mirroring method", stored in information retrieval system, or otherwise used for any other purpose by any person by any means.
5. Your Obligation
When using the Platform, you shall not:
• disrupt, interfere with, violate the security of, or attempt to gain unauthorized access to, the Platform or any computer network;
• circumvent any technological measure implemented by us or any providers or any other third party to protect the Platform;
• upload, transmit, distribute, or run any computer virus, worm, Trojan horse, or any computer code that could damage or alter a computer, portable device, computer network, communication network, data, the Platform, or any other system, device or property;
• attempt, in any manner, to obtain the password, account, credentials, or other security information from any other user; or;
• jeopardize the security of your Account or anyone else’s account (for example, by allowing another individual to login into Platform as you);
• publicly announce or disclose the cooperation between you and HIKVISION under these Terms, or advertise or release any publicity regarding this cooperation hereunder, without prior written consent of HIKVISION;.
• violate any applicable federal, state, local, or international law or regulation (including, without limitation, any law regarding the export of data or software to and from the U.S. or other countries).
You hereby agree and undertake that when you log in to the Platform, you shall duly perform activities only in order to realize the Purpose and comply with any applicable laws and regulations, including without limitation the applicable data protection laws and regulations. You shall only collect and use personal data to the extent that is necessary to realize the Purpose. You are solely responsible for the liability arising from your misconducts or failure to comply with any applicable laws and regulations, and you shall hold HIKVISION harmless from any liability arising from such misconducts and failure.
6. Indemnity
To the extent permitted by applicable law, you agree to indemnify and hold harmless, and upon HIKVISION’s request, defend, HIKVISION, its directors, officers, employees, independent contractors and agents (each a “HIKVISION Indemnified Party”) from any and all claims, losses, liabilities, damages, taxes, expenses and costs, including without limitation, attorneys’ fees and court costs (collectively, “Losses”), incurred by a HIKVISION Indemnified Party and arising from or related to any of the following:
(a) Your use of HIKVISION Platform which constitutes a culpable (negligent or willful) violation of these Terms and any other information issued by us;
(b) Your culpable violation of these Terms;
(c) Your culpable violation of any law or the rights of any third party;
(d) Your faults or negligence or willful misconducts in the procedure of realizing the Purpose, including without limitation those resulting any losses or damages of any customers that purchasing HIKVISION products.
We will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it. In no event may you enter into any settlement or like agreement with a third party that affects HIKVISION's rights or binds HIKVISION in any way, without the prior written consent of HIKVISION.
7. WARRANTY DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED FOR YOUR CONVENIENCE, “AS IS”, AND “AS AVAILABLE” WITH ALL FAULTS AND ERRORS, AND WE AND OUR SUPPLIERS AND LICENSORS EXPRESSLY DISCLAIM ANY WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, QUIET ENJOYMENT, NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, AVAILABILITY, DATA SECURITY, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
8. LIMITATIONS ON LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL HIKVISION, ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AFFILIATES, CONTRACTORS, AGENTS, LICENSORS, OR SUPPLIERS, BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, AND/OR EXEMPLARY DAMAGES INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS OR REVENUES, LOSS OF DATA, AND/OR LOSS OF BUSINESS, IN CONNECTION WITH THE PLATFORM OR THE USE OF OR INABILITY TO USE THE PLATFORM OR RELIANCE ON THE CONTENTS CONTAINED HEREIN, EVEN IF HIKVISION IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNLESS OTHERWISE AGREED IN WRITING BY HIVKISION IN ANY OTHER AGREEMENT, TO THE EXTENT PERMITTED BY THE APPLICABLE LAW, HIKVISION SHALL NOT BE LIABLE FOR THE MATERIALS OF THE PLATFORM, REGARDLESS OF THE REASON OF THE LIABILITY OR THE TORT THEORY IT BASED ON.
9. Confidentiality
You may be exposed to certain confidential information of HIKVISION including but not limited to information concerning the business, technology, and any customers of HIKVISION, which you know or should know is HIKVISION’s confidential and proprietary information (herein “Confidential Information”). You agree that you will permanently not: (i) use the Confidential Information for any purpose other than to perform under these Terms; or (ii) disclose to any third party any Confidential Information without the prior written consent of HIKVISION.
You agree to keep confidential and not to disclose the terms and conditions of these Terms to any third party.
10. Term and Termination
These Terms will remain in full force and effect as long as you continue to access or use the Platform, or until they are terminated by HIKVISION at any time, without cause and prior notice. Therefore, at any time, and without prior notice, we may suspend or terminate your rights to use the Platform.
11. Governing Law and Dispute Resolution
You agree that your access and all related activities on or through the Platform shall be governed by, construed, and interpreted in accordance with the laws of the People's Republic of China. You agree that any dispute between the Parties arising out of or in connection with these Terms or your access and all related activities on or through the Platform shall be resolved by means of arbitration and shall be submitted exclusively to the China International Economic and Trade Arbitration Commission (“CIETAC”) in Beijing in accordance with CIETAC rules. The preceding provision regarding dispute resolution does not apply in some jurisdiction where such dispute resolution may be prohibited. For example, if you are a user based in the European Union, you may make a claim in the courts of the country where you reside.
12. Breach of Terms
Should You breaches any obligations as stipulated these Terms, especially under Section 4 (Intellectual Property), Section 5 (Your Obligation), Section 6 (Indemnity) and Section 9(Confidentiality), you agree to pay US Dollar $500,000, as the compensation, to HIKVISION, as a liquidated damage, and to compensate all losses resulting from its own faults, including but not limited attorney fee, investigation fee and any other reasonable fees.
You acknowledge and agree that any breach or potential breach shall cause irreparable injury to HIKVISION and that, in addition to the above mentioned remedies, HIKVISION shall be entitled to obtain injunctive relief against the threatened breach of these Terms or the continuation of any such breach by you.
